    the affirmative vote of 5 of the 10 Steering Committee members to constitute
    a majority of the Steering Committee.  The matter not having achieved a
    majority vote must be deemed to have failed to win approval.  Consequently,
    I will not submit the proposed amendment to Patrick for consideration by the
    OASIS Board.  We will address the matter again during our next Steering
