    Dear Jim, Dear OASIS Members,

    On behalf of Ericsson,  I am posting the following comments to the proposed amended OASIS Bylaws reflected in the email below and in the following link:

     

    • Section 3.14 states "As used herein, "Designating Member" shall mean the subclass of Members of the corporation which are currently in the highest classes of voting corporation membership, with such class or classes confirmed by the Board for this subclass by a resolution that may be adopted no more frequently than once per year.". We believe that the Bylaws should already provide a minimum indication of the criteria that will be considered in order to classify a member as belonging to the "highest classes of voting corporation membership", i.e., to provide a more precise and clear indication of the aspects that will define the category "Designating Member". Will those criteria be economical?. What additional aspects will be considered?.

     

    • Section 3.14 states "For each Regular Election, the number of Elected Directors to be elected shall be set by the Board by a resolution".  Due to this, we understand that there is no limit to the maximum number of Directors that can compose the OASIS Board. We believe that this is a clear drawback, and propose that the maximum number of Board Members is specified in the Bylaws, in order to ensure the economical and operational effectiveness of the OASIS consortium and its Board of Directors.

    Member review of proposed amendments to OASIS Bylaws

    Dear OASIS Membership:

    The Bylaws of OASIS Open were last amended in December 2020.  In an effort to increase membership and sustaining revenues, in August, 2024 the Board of Directors recommended a set of amendments to the Bylaws that included changes to director selection methods and terms of service, summarized in the FAQ mentioned below, along with a set of minor and typo corrections.  The voting membership of OASIS overwhelmingly voted to approve these amendments in October, but there were concerns raised about the extension of the ballot for quorum purposes.  So the Board elected to review and then re-run the ballot, later in the year, after conducting a member review period.  This message launches that review period.

    Member Review Period

    The 30-day public review starts 25 February 2025 at 00:00 UTC and ends 28 March 2025 at 23:59 UTC.  This is an open invitation to members to comment. Comments may be submitted to the project by posting to <OASIS-member-discuss@ConnectedCommunity.org>, or to me directly if you have difficulty with that list or accessing the documents linked above.

     

    Summary and FAQ of changes

     

    We have provided an FAQ on the proposed amendments, to anticipate some issues for your consideration, here: https://drive.google.com/file/d/1V0m4JlMpPypqgLViDtnyKp-Dbj9zsDFx/view?usp=sharing  It includes and expands the points made earlier in our August 2024 ballot message. 

    The Board of Directors intends to review all comments received in this review, and then craft and launch a final member ballot to approve these amendments, after this review period is completed.
